S.E.C. Solar Energy Concepts Ltd., Cyprus
These General Terms and Conditions represent a legally binding agreement between S.E.C. and all contractual partners. The company operates under the laws of the Republic of Cyprus.
(1) Basic Regulations
If any term becomes ineffectual or impracticable, the remaining terms stay valid. An effective term closest to the original economic purpose will replace any ineffectual provision.
(2) Formulation of a Contract
Contracts form when S.E.C. receives a mandate through written order, confirmation, or email. “The contractual partner declares by accepting S.E.C.’s offer or by commissioning S.E.C., whether verbally, in writing or by online form, that they are a business person acting on their own behalf according to the law.”
S.E.C. reserves the right to decline mandates with good cause. A right of withdrawal and cancellation is fundamentally precluded.
(3) Contractual Partner Obligations
Partners must provide accurate data and notify S.E.C. immediately of any changes in writing. Partners must supply all information and materials required without delay. S.E.C. does not assume liability for violations of third-party rights from client-provided materials.
(4) Compensation for Services Rendered
Payment is due within “7 working days from the date of invoice.” Default attracts interest at 4 percentage points above the bank rate annually. S.E.C. may cease services after a reminder if payment remains outstanding 14 days post-default.
(5) External Services / Engagement of Third Parties
S.E.C. may perform work directly or through carefully selected third parties with required qualifications.
(6) Liability
“S.E.C. is liable according to legal requirements only on the basis of a deliberate and imputable or gross negligence or if S.E.C. has violated a fundamental contractual obligation at least through slight negligence.”
Claims must be submitted in writing within 10 days after service provision. S.E.C. provides no tax, legal, or financial advice.
(7) Data Protection
S.E.C. raises, saves, and processes data according to Cyprus data protection regulations for contract fulfillment and legal documentation. Data is used exclusively for executing contracts and client support. Consent is given by accepting services.
(8) Right of Retention
S.E.C. may retain all services, documents, and papers — including digital materials — until all claims are fully repaid.
(9) Notice Periods
Unless otherwise agreed, parties may terminate with “a notice period of three months to the end of each calendar year” via registered mail. Termination for good cause is allowed in exceptional situations, including non-payment or repeated breach.
(10) Final Clauses
This contract is governed by Republic of Cyprus law. Changes to terms are published in writing with a two-week notice period.
(11) Court of Jurisdiction
Republic of Cyprus law applies exclusively.
